Terms and Conditions for the NEST Summer Prize Draw

This is a courtesy translation. Only the German version of these Terms and Conditions is legally binding.

1. Organiser

The prize draw is organised by NEST CoWork & Play GmbH, Hofweg 70, 22085 Hamburg, Germany, email: hello@nestcoworkandplay.com (hereinafter the "Organiser").

2. Eligibility

Participation is open to natural persons aged 18 or over who are resident in Germany. Participation is free of charge.

Employees of the Organiser and their relatives are excluded from participation. Participation via prize draw services or automated tools is not permitted.

Persons who already hold an active membership with the Organiser are excluded from the main prize and from the additional benefit under Clause 5. Only the special provision under Clause 4.3 applies to existing members.

The main prize includes one childcare place for one child. Childcare provided by our qualified early years educators is generally available from approximately ten months of age. Younger children may use the membership together with the accompanying parent at our baby desks and are not cared for by the pedagogical team. The childcare place is available for children up to their sixth birthday. Participants whose children are older cannot claim the main prize.

3. Promotional Period and Entry

The prize draw begins on 19 August 2026 and ends on 23 August 2026 at 23:59 (CET).

To enter the prize draw, the following conditions must be met before the end of the promotional period:

1. Complete and submit the entry form on the Organiser's promotional page at https://nestcoworkandplay.com/de/gewinnspiel, including name, a valid email address and a telephone number.

2. Confirm entry via the link in the confirmation email sent subsequently (double opt-in). Without this confirmation, the entry is not valid.

Each person may enter the prize draw only once. Multiple entries will not be considered.

Following the Organiser's Instagram channel is not a condition of entry.

3.1 Additional Entry

Participants receive one additional entry into the draw if, during the promotional period, they publish a post about the prize draw in their own Instagram story and tag @nest.coworkandplay in it.

This requires that the participant has provided their Instagram handle in the entry form and that the tag reaches the Organiser and is visible to them. Without the Instagram handle, the entry cannot be matched and the additional entry cannot be awarded.

A maximum of one additional entry is awarded per person. No liability is accepted for technical faults in the transmission of the tag.

4. Grand Prize, Referral Prize and Special Provision for Members

4.1 Grand Prize

One (1) grand prize (main prize) will be drawn at random from all valid entries.

The grand prize is a free six-month membership with the Organiser under the Regular plan (up to 30 hours per week, including childcare for one child, provided the child is old enough), with a value of up to EUR 2,814.00 including 19% VAT.

The prize covers childcare for one single child. Standard surcharges under the Organiser's price list apply to additional children.

Conclusion of a membership agreement is required in order to claim the prize.

Important notice regarding contract renewal: the free six-month membership awarded as the main prize automatically converts into a regular, chargeable membership at the end of the six months, unless it is cancelled in text form (for example by email) at least 30 days before the end of the free six-month period. The regular fee for the Regular plan is currently EUR 469.00 per month including VAT. It is also possible to switch to a lower plan at the end of the six months. The winner will be expressly informed of this condition both in the prize notification and upon conclusion of the membership agreement.

4.2 Referral Prize

If the drawn winner has stated in the entry form who made them aware of the prize draw, the person named there will likewise receive a free six-month Regular membership on the same terms, including the automatic contract renewal described in Clause 4.1.

Only the entry of the drawn winner will be taken into account. If this field has not been completed, or if the named person cannot be clearly identified, is not eligible to participate, or cannot be reached within the period stated in Clause 6, only one main prize will be awarded. No further draw will take place for the referral prize.

A total of up to two (2) memberships, each with a value of up to EUR 2,814.00 including VAT, may therefore be awarded.

4.3 Special Provision for Existing Members

If the person named under Clause 4.2 is already a member of the Organiser at the time of the draw, they will receive one free month credited to their existing membership instead of the six-month membership. This provision applies solely in connection with the main prize and not to the additional benefit under Clause 5.

4.4 General Provisions Regarding Prizes

Payment in cash, substitution or transfer of prizes to other persons is excluded. Any taxes associated with the prize are borne by the winner.

5. Additional Benefit (Discount Voucher) for Qualified Participants

For the purposes of these Terms and Conditions, qualified participants are persons who meet the requirements of Clauses 2 and 3 and who have expressly consented in the entry form to receiving offers and promotional communications.

Persons who already hold an active membership with the Organiser at the time entries close are not considered qualified participants within the meaning of this Clause and will not receive a discount voucher. Only the special provision under Clause 4.3 applies to them.

All qualified participants who do not receive a prize under Clause 4 will receive a NEST discount voucher.

Terms of the discount voucher:

• The voucher grants one (1) free month upon conclusion of a regular, chargeable membership of at least six months. Conclusion of a chargeable membership agreement is a mandatory condition for redemption.

• The free month is the final month of the agreed term. With a six-month term, five months are paid and the sixth month is free. With a twelve-month term, where the twelfth month is already free as standard, the eleventh month additionally becomes free with the voucher.

• The voucher is valid for the Light, Part-Time and Regular plans. The Full plan is excluded.

• At the end of the agreed term, the membership agreement automatically renews on a chargeable basis under the regular terms of the Organiser's General Terms and Conditions, unless it is cancelled within the applicable notice period.

• The voucher must be redeemed by 31 August 2026. The membership may begin at a later date, but the agreement must be concluded by then.

The discount voucher will be sent by email after the end of the prize draw to the address provided in the entry form. Without the aforementioned promotional consent, the voucher cannot be delivered. Promotional consent is voluntary and has no effect on the chances of winning the main prize. There is no legal entitlement to receipt of the voucher or to payment in cash.

6. Determination of Winners and Notification

The draw will take place on 24 August 2026 at random from all valid entries.

Notification will be sent by email to the address provided in the entry form. If a winner does not respond within 48 hours of the notification being sent, the entitlement to the prize lapses without replacement and a new winner may be drawn.

7. Contact by Telephone

Contact by telephone from the Organiser, in particular to explain the terms of the additional benefit under Clause 5, takes place solely on the basis of separate, express and non-pre-selected consent given in the entry form.

Providing a telephone number alone does not constitute such consent.

This consent is voluntary and has no effect on the chances of winning the main prize. It may be withdrawn at any time, free of charge and without formal requirements, with effect for the future, by writing to hello@nestcoworkandplay.com.

8. Redemption

All prizes and vouchers may be redeemed exclusively on site at the Organiser's premises, Hofweg 70, 22085 Hamburg, Germany. There is no entitlement to use them at any other location.

9. Publication

Winners will be announced on the Organiser's channels solely with their prior express consent. Without such consent, the announcement will be made without naming the person.

10. Data Protection and Promotional Consent

Participation requires the provision of personal data (name, email address, telephone number, place of residence, where applicable the Instagram handle, and information about the participant's living and working situation). The Organiser processes this data pursuant to Art. 6(1)(b) GDPR for the operation and administration of the prize draw, including verification of eligibility and notification of winners.

Naming of third parties: if a participant enters the name of a third party (referrer) in the form, they confirm that they are entitled to disclose that name for the purpose of administering the prize draw.

Voluntary promotional consent: where the relevant checkbox in the entry form has been actively ticked, the email address will additionally be used to send the discount voucher under Clause 5 as well as future offers and the newsletter (Art. 6(1)(a) GDPR). This consent is voluntary and has no effect on the chances of winning the main prize (prohibition of coupling). It may be withdrawn at any time, free of charge and without formal requirements, with effect for the future.

Once the prize draw has been fully concluded, the data collected will be deleted, unless separate consent under the paragraph above has been given or statutory retention obligations apply.

11. Notice Regarding Instagram and LinkedIn

This promotion is in no way connected to Instagram or LinkedIn and is neither sponsored, endorsed, administered nor controlled by these platforms. The recipient of the information provided by participants is the Organiser, not the respective platform. Questions, comments and complaints are to be directed exclusively to the Organiser.

12. Exclusion from Participation

The Organiser reserves the right to exclude participants who breach these Terms and Conditions, provide inaccurate information or use unfair means.

13. Amendment or Early Termination

The Organiser reserves the right to discontinue, amend or terminate the prize draw at any time without prior notice, in particular where proper operation can no longer be guaranteed for technical or legal reasons. No claims arise for participants as a result.

14. Limitation of Liability

No liability is accepted for loss of data, in particular during data transmission, or for other technical faults.

15. Final Provisions

This prize draw is governed by the law of the Federal Republic of Germany. Recourse to the courts is excluded with regard to the drawing of winners.

Should individual provisions be or become invalid, the validity of the remaining provisions shall remain unaffected.
